Guarantee	Only Pay Us For Your Profits Guarantee
we, us, our or Promoter	LeVeon Business Advisors Pty Ltd (ABN 89 650 627 875)
Eligibility	To be eligible for the Guarantee, the Participant must: a) maintain active engagement in each strategy service session that we supply to the Participant; b) implement the components of our strategy service sessions into the Participant’s respective workflow; and c) complete the following required activities while we are providing the Participant with our strategy services (unless otherwise set out agreed between the Parties), including: i. Follow, adhere too and implement all advice given to you; and ii. Implement Job Management Software iii. Engage a Bookkeeper
Redemption Process	To claim the compensation, the Participant must: a) Submit a written refund request within 7 days of completion of the strategy session; b) Provide detailed documentation verifying compliance with the Eligibility Criteria, which must be submitted to us in the specified format; and c) Demonstrate that revenue targets set out in our Guarantee were not met despite full compliance by the Participant with the Eligibility Criteria.
Approval	We shall review the compensation request within 30 business days and, if approved, issue the Participant with the compensation within 30 business days to the Participant’s nominated bank account.
Additional Terms	In addition to these Guarantee Terms and Conditions, our standard terms of service also apply, available within your engagement letter
This Guarantee is void if the Participant: a) fails to complete any of the Eligibility Criteria or follow any instructions or guidelines provided by us in relation to our services; or b) provides false or misleading information; c) fails to meet the revenue criteria as a result of the Participant’s or any third party’s act or omission, accident, or negligence; d) use the services otherwise than for any application or use specified by us; e) does not notify us of any known or suspected defect in the services or continues to use the services after any defect in the services becomes apparent or would have become apparent to a reasonably prudent person or f) breaches any terms of the Additional Terms. All decisions regarding the Guarantee by us are final and binding.

Terms & Conditions

1. Information in the Schedule forms part of these Terms and Conditions. Participation in the Guarantee is deemed acceptance of these Terms and Conditions.

2. In these terms, a reference to you, your or a Participant is a reference to the individual participating in the Guarantee.

3. Any capitalised terms used in these Terms & Conditions have the meaning given in the Schedule, except where stated otherwise.

Eligibility & Entry

4. This Guarantee is open to Australian only.

5. To participate in the Guarantee, Participants must complete the Redemption Process and meet the Eligibility. Claims for the Guarantee that do not follow the Redemption Process or meet the Eligibility will not be accepted by the Promoter.

Guarantee

6. The Guarantee is specified in the Schedule. The Guarantee is not redeemable for cash.

7. The Guarantee is subject to Approval and any Additional Terms.

8. Past performance is never a guarantee for future success.

9. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

(a) to cancel your service contract with us; and

(b) to a refund for the unused portion, or to compensation for its reduced value.

10. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not mount to a major failure you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

11. We provide this Guarantee to you in addition to any rights or remedies you have under the Australian ConsumervLaw or any other applicable law (Consumer Law Rights).

General

12. Consequential Loss: Despite anything to the contrary, to the maximum extent permitted by law, neither party will be liable under these Terms & Conditions for any consequential loss, special or indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

13. Force Majeure: Neither party will be liable for any delay or failure to perform their respective obligations under these Terms and Conditions if such delay or failure is caused or contributed to by a Force Majeure Event. Force Majeure Event means any event or circumstance which is beyond a Party’s reasonable control including but not limited to, acts of God including fire, hurricane, typhoon, earthquake, landslide, tsunami, mudslide or other catastrophic natural disaster, civil riot, civil rebellion, revolution, terrorism, insurrection, militarily usurped power, act of sabotage, act of a public enemy, war (whether declared or not) or other like hostilities, ionising radiation, contamination by radioactivity, nuclear, chemical or biological contamination, any widespread illness, quarantine or government sanctioned ordinance or shutdown, pandemic (including COVID-19 and any variations or mutations to this disease or illness) or epidemic.

14. Consumer Law: Certain legislation, including the Australian Consumer Law (as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), as amended, from time to time), and similar consumer protection laws and regulations, may confer you with rights, warranties, guarantees and remedies relating to the Guarantee which cannot be excluded, restricted or modified (Consumer Law Rights). To the extent that you maintain Consumer Law Rights at law, nothing in these Terms excludes those Consumer Law Rights. Subject to your Consumer Law Rights, we provide all material, work, goods and services relevant to this Guarantee to you without conditions or warranties of any kind, implied or otherwise, whether in statute, at law or on any other basis, except where expressly set out in these Terms.

15. Liability: A party’s liability for any liability in relation to these Terms and Conditions will be reduced proportionately to the extent the relevant liability was caused or contributed to by the acts or omissions of the other party, including any failure by that other party to take reasonable steps to mitigate its loss.

16. Costs: Participants acknowledge and agree that the Participant is solely responsible for any costs associated with claiming the Guarantee, including, but not limited to, any applicable taxes or charges.

17. Currency: Unless the contrary intention appears, a reference in these terms or in any advertisement relating to the Guarantee is relating to Australian dollars, dollars, AUD$ or $ is a reference to the lawful currency of Australia.

18. Amendments: These Terms and Conditions may be amended or replaced from time to time if required by any

regulatory authority.

19. No Assignment or transfer: This Guarantee or the benefit under this Guarantee cannot be assigned or transferred to any other person or third party.

20. Jurisdiction: These Terms and Conditions are governed by the laws of New South Wales. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts operating in New South Wales and any courts entitled to hear appeals from those courts and waives any right to object to proceedings being brought in those courts.

21. Dispute Resolution: In the event of a dispute, Entrants must contact the Promoter and attempt to resolve the dispute in good faith. If the matter can’t be resolved, either party may refer the matter to a mediator. The costs of the mediation will be shared equally between the parties.
